Terms of Work

Last updated: November 2026

These Terms of Work explain how Devtrio works with you, from the first conversation to final handover. They are written to be read, not skimmed past: we want you to know exactly what to expect from us, and what we need from you, so your project runs smoothly. By engaging Devtrio or approving a project proposal, you agree to these terms.

01

Our Commitment To You

Our team stays focused on your work. We would rather do fewer projects properly than many projects poorly, so we take on only the work we can give our full attention. We care about quality, not quantity.

Our goal is to deliver professionally and to put in place the solution you expect. We also understand the worries that come with handing over a project: whether it will be on time, whether it will be what you pictured, and whether you will be kept informed. Everything in these terms is designed to remove those worries.

02

Response Time And Communication

Devtrio responds to every enquiry and project message within one working day. You will always have a named point of contact and a clear channel for questions, feedback and updates.

After we agree to work together, we share a complete guideline for your project: the project plan, the timeline and the delivery pipeline. This shows you what is being built, in what order, and when you can expect each part, so you can stay confident and focused on your business while we focus on your work.

03

Scope Of Services

Devtrio provides AI and machine learning solutions, software development, intelligent systems, and data services, along with the design work that supports them. The exact scope of every project, including features, deliverables, platforms and exclusions, is set out in the project proposal you approve. Anything not listed in the proposal is outside the scope until we agree on it in writing.

04

Project Plan And Timeline

Each project is divided into clear milestones with target dates. We work to those dates and tell you early if something puts them at risk. Timelines depend on your side too: delays in feedback, approvals, content, access or third-party decisions move the schedule by the same amount, and we will agree the revised dates with you openly.

05

What We Need From You

Good results come from a good partnership. We ask that you provide the information, content, access and assets we need on time, give clear and consolidated feedback, and nominate someone who can make decisions on your behalf. You confirm that everything you give us is yours to use, and that it does not infringe anyone else's rights.

06

Changes To Scope

Requirements often evolve, and we welcome that. When you ask for something beyond the approved scope, we will explain its effect on cost and timeline before any work begins. Changes only take effect once you have approved them, so there are never surprises on the invoice.

07

Payments

Projects are billed by milestone, as set out in your proposal. Work on the next milestone begins once the previous milestone invoice has been settled, and each invoice is payable within the period stated on it. Fees do not include taxes, government levies, or third-party costs such as hosting, licences, domains, app store fees and paid API usage, unless the proposal says otherwise.

08

Review, Revisions And Support

At each milestone you review the work and tell us what needs to change. The number of revision rounds, and any support period after launch, are defined in your project proposal. Fixing defects against the agreed scope is part of our responsibility. Support or enhancements outside the agreed period can be arranged separately.

09

Ownership And Intellectual Property

Once you have paid in full, you own the final deliverables created specifically for you. Until then, ownership stays with Devtrio. Our pre-existing tools, frameworks, libraries and know-how remain ours, and we grant you a licence to use them as part of the delivered work. Third-party and open-source components stay under their own licences.

Unless you tell us otherwise in writing, Devtrio may mention the project and show non-confidential parts of it in our portfolio and case studies. We will never publish confidential information, credentials or your customers' data.

10

AI-Based Solutions

Where a project uses AI, you should know what that means in practice. AI outputs can be imperfect, so we test, evaluate and tune the solution against the goals in your proposal. Third-party AI services we integrate are subject to their own terms, pricing and availability. We handle your data only to deliver the project, and we do not use it to train models for other clients.

11

Confidentiality And Data

We treat your business information, data and ideas as confidential, we limit access to the people who need it to do the work, and we protect it with reasonable security measures. This duty continues after the project ends. It does not cover information that is already public, that we already knew, or that we are legally required to disclose. More detail on personal data is in our Privacy Policy.

12

Acceptance And Handover

When a deliverable is ready, we tell you and invite you to review it. If we do not hear back within the review period agreed in the plan, we will follow up. Once you approve, or once the work is put into live use, it is considered accepted, apart from defects covered under our support commitments. Final handover includes the agreed source files, documentation and access.

13

Warranty And Liability

We carry out our work with professional skill and care, and we stand behind it as set out in these terms. We cannot guarantee results that depend on factors outside our control, such as market conditions, third-party platforms and your own use of the product.

To the extent the law allows, Devtrio is not liable for indirect or consequential losses, such as lost profit, lost data or business interruption. Our total liability for any claim relating to a project is limited to the fees you paid for that project.

14

Pausing Or Ending The Work

Either of us may end an engagement by giving written notice. If you end it, you pay for the work completed and costs committed up to that point. If we end it, it will be because of non-payment, repeated unresponsiveness, or a request we cannot lawfully or ethically fulfil, and we will give you notice and hand over the completed work that has been paid for. Confidentiality and ownership terms continue after the engagement ends.

15

Events Beyond Our Control

Neither party is responsible for delay caused by events beyond reasonable control, such as natural disasters, power or internet outages, regulatory action or failures of third-party platforms. We will tell you promptly and work with you to get back on track.

16

Custom Terms And Signed Agreements

If there is a term here you cannot accept but you would still like to work with us, tell us. Every request is reviewed individually, and if Devtrio considers it feasible, including changes related to payments, timelines or ownership, we will record it in a written contract signed by both companies.

A signed contract replaces the part of these terms it changes, and everything else continues to apply. We will give you a copy of the signed contract and the agreed changes, and Devtrio keeps the original in its company records. Changes agreed only in conversation or by message are not part of the agreement until they appear in a signed contract.
